World Licensing Addendum
This addendum applies only to creators who offer a series as a licensable world for brand deals. It sits on top of the Creator & Publisher Agreement and changes nothing for creators who do not.
Open Brand deals in your studio1. What you are licensing
By setting a series to Agency or Introduce me in Creator Studio, Creator grants Generated Worlds a non-exclusive, worldwide licence to offer that series, its characters, its scenes and its still and moving imagery to advertisers, and — in Agency mode only — to produce advertising that depicts those characters and that world. Creator retains ownership of the series and of every character in it.
- This licence covers advertising material only. It does not permit Generated Worlds to sell, assign, or exclusively license the world or its characters.
- The licence is revocable. Setting a world back to Off ends it for anything not already commissioned.
- A brief already in production is not affected by a change of mode. Withdrawing a world mid-production would strand advertising Generated Worlds is contractually part-way through delivering; that work is completed and paid for under the terms in force when it started.
2. Agency mode: who is the advertiser
For deals brokered in Agency mode, Generated Worlds is the producer of the advertising and the advertiser is the paying brand. Section 6 of the Creator & Publisher Agreement, which makes Creator the advertiser and endorser for Creator's own promotions, does not apply to advertising produced by Generated Worlds under this addendum. Creator makes no endorsement, gives no product claim, and carries no substantiation obligation for advertising Creator did not produce.
3. Introduce me mode: who is the advertiser
For deals in Introduce me mode, Generated Worlds makes an introduction and nothing more. Creator contracts directly with the brand, produces the advertising, is the advertiser and endorser under Section 6 of the Creator Agreement, and is responsible for disclosure, substantiation and delivery. Generated Worlds is not a party to that contract, handles no money for it, and gives no warranty about the brand to Creator or about Creator to the brand.
4. Your royalty
In Agency mode, Creator receives a licensing royalty of 20% of the subscription revenue attributed to the period in which advertising using Creator's world was delivered. Where a brand's advertising in a period used more than one world, that royalty pool is divided between those worlds in proportion to the number of advertisements delivered from each.
- The royalty is a licence fee for the world, not a share of production. Generated Worlds writes, produces, sells and settles the advertising and bears its cost.
- This is separate from, and does not change, the 80% creator share on viewer purchases of Creator's own content.
- The rate applying to a deal is fixed when that deal is delivered. A later change to the published rate does not alter amounts already recognised.
- Amounts are allocated to Creator's balance and are paid out under the payout terms of the Creator Agreement. No payout is made until Creator has completed payout verification.
5. What you can refuse
Creator may refuse advertiser categories in Creator Studio at any time. A world is not offered to an advertiser in a refused category. Creator may also set any world to Off at any time and for any reason, including after seeing a brief.
6. Your warranties still apply
Section 3 of the Creator & Publisher Agreement applies in full to every world Creator lists. Creator warrants in particular that no character in a listed world is based on, derived from, or reproduces the name, face, voice, likeness or performance of any identifiable real person without documented consent, and that Creator can evidence the provenance of the world on request. Listing a world Creator cannot warrant is a breach, and Generated Worlds may delist it, cancel deals against it, and withhold amounts allocated under it.
7. Ending it
Either party may end this addendum at any time. Ending it sets every world to Off. Licences already granted to advertisers for delivered advertising survive, as does Creator's right to royalties already allocated.
